    • $2M–$5M EBITDA

    • Consistent, predictable earnings history

    • Healthy margins relative to sector norms

    • Manageable working capital / capex requirements

    • Track record of solid historical growth

    • Room to expand without needing to reinvent the business

    • Operating in a sector with clear tailwinds

    • Owner with a genuine intent to step back from business operations after a negotiated transition period

    • Limited keyperson risk

    • Established team, systems, and customer relationships
